Welcome to BPOFlow, operated by Bpoflow LLC. These Terms of Service ("Terms") govern your use of www.bpoflow.com, app.bpoflow.com, app.bpoflow.cloud and the BPOFlow order-acceptance service (together, the "Website" or the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access the Service.
You must be at least 18 years old and have the legal capacity to enter into these Terms to use the Website. By using the Website, you represent and warrant that you meet these eligibility requirements and that you agree to comply with these Terms.
To access certain features of the Website, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Our reseller. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries relating to payment processing and handles returns. Charges will appear on your statement from Paddle.
Subscription. The Service is billed as a subscription of $10 per month, charged in advance to the payment method you provide at checkout. The subscription includes 5 accepted orders in each calendar month for which the $10 subscription fee has been paid. Promotional or discount codes that reduce the subscription fee to $0 do not include free orders unless the code says so.
Per-order usage fees. In addition to the subscription, each order that the Service accepts on your behalf beyond the included orders is billed as follows:
Where the vendor fee for an order cannot be determined, the order is billed at $2. Included orders are applied to your highest-priced orders first. Calendar months are measured in US Eastern time.
Automatic payment. By subscribing, you authorize Bpoflow LLC, through Paddle, to charge the payment method on file for your subscription each month and for per-order usage fees. On or around the 1st day of each month we will email you a statement listing the orders accepted for you in the previous calendar month and the amount due. That amount will be charged to your payment method on or around the 4th day of the month. If you believe any order on the statement should not be billed, reply to the statement email before the charge date and we will review it before charging.
Billing questions after a charge. If you believe you were charged for an order in error, contact support@bpoflow.com within 30 days of the charge. Please contact us before disputing a charge with your bank so that we can review and correct it.
Failed payments. If a payment cannot be collected, we may suspend the Service until the outstanding balance is paid. Amounts that remain unpaid may be collected by other lawful means.
Changes to pricing. We will give you at least 30 days' notice by email before any change to the subscription price or per-order fees takes effect. If you do not agree to the change, you may cancel before it takes effect.
Cancellation. You may cancel at any time by emailing support@bpoflow.com. Cancellation stops future subscription charges. Per-order usage fees for orders accepted before cancellation remain payable and will be charged in the next monthly statement.
Refunds are governed by our Refund Policy.
You agree to use the Website only for lawful purposes and in accordance with these Terms. You may not use the Website in any way that violates any applicable laws or regulations, infringes the rights of others, or interferes with the operation of the Website. This includes, but is not limited to, refraining from unauthorized access, data mining, or scraping of content.
The Website and its entire contents, features, and functionality are owned by Bpoflow LLC, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not modify, reproduce, distribute, or create derivative works based on the content of this Website without explicit permission from Bpoflow LLC.
You may have the opportunity to submit, post, or display content on the Website ("User Content"). By submitting User Content, you grant Bpoflow LLC a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media. You represent and warrant that you have the necessary rights to grant this license for the User Content.
You agree not to engage in any of the following prohibited activities:
The Website may contain links to third-party websites or services that are not owned or controlled by Bpoflow LLC. Bpoflow LLC has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Bpoflow LLC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
The Website is provided "as is" and "as available" without any warranties of any kind, express or implied. Bpoflow LLC does not warrant that the Website will be error-free, uninterrupted, secure, or free from viruses or other harmful components. Any reliance on the Website or its content is at your own risk.
In no event shall Bpoflow LLC, its affiliates, licensors, or service providers be liable for any indirect, consequential, special, incidental, punitive, or exemplary damages arising out of or in connection with your use of the Website, even if Bpoflow LLC has been advised of the possibility of such damages. This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis.
You agree to indemnify and hold harmless Bpoflow LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees and costs, arising out of or in any way connected with your use of the Website or your violation of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the state of ILLINOIS, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or relating to these Terms or the Website shall be brought exclusively in the courts located in Chicago, ILLINOIS, and you hereby consent to the jurisdiction of such courts.
Bpoflow LLC reserves the right to modify or replace these Terms at any time. We will notify you by email of material changes, including any change to fees or billing, at least 30 days before they take effect. Your continued use of the Service after a change takes effect constitutes your acceptance of the updated Terms. If you do not agree to a change, you may cancel before it takes effect as described in Section 4.
Bpoflow LLC reserves the right to terminate or suspend your access to the Website at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms or fail to pay amounts due. Upon termination, your right to use the Website will immediately cease. Amounts accrued before termination remain payable.
If any provision of these Terms is found to be invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect.
These Terms, together with our Refund Policy and Privacy Policy, constitute the entire agreement between you and Bpoflow LLC regarding your use of the Service and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether oral or written.
Bpoflow LLC takes data privacy seriously. By using the Website, you agree to the collection, use, and disclosure of your personal information in accordance with our Privacy Policy. We may collect information such as your name, email address, contact information, and browsing activity. This information is used to improve the Website's functionality, personalize your experience, and communicate with you about our services.
You agree to use the Website in a manner consistent with applicable laws and regulations. You shall not engage in any conduct that:
Bpoflow LLC reserves the right to monitor, review, and remove User Content that violates these Terms or is otherwise objectionable. We may also suspend or terminate user accounts that engage in prohibited conduct or violate these Terms. However, we do not assume any obligation to monitor User Content and disclaim any liability for such content.
We welcome your feedback, comments, and suggestions regarding the Website. By providing feedback, you grant Bpoflow LLC the right to use and incorporate your feedback into our products and services without any obligation to compensate you.
Any dispute arising out of or relating to these Terms or the Website shall be resolved through informal negotiation between the parties. If the dispute cannot be resolved informally, either party may pursue legal action in accordance with the governing law and jurisdiction specified in these Terms.
The failure of Bpoflow LLC to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Our failure to enforce any part of these Terms does not waive our right to enforce that or any other part of these Terms in the future.
Bpoflow LLC shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of nature, war, terrorism, government action, labor disputes, or technical failures.
